Restoring a Dissolved Company
Companies can be struck off the Companies House register either voluntarily by the directors or due to non-filing of confirmation statements or accounts. In some cases, restoring a dissolved company is necessary—whether to resume trading, reclaim assets, or pursue an insurance claim.
Administrative Restoration
If a company was struck off by Companies House within the last six years, it may be eligible for administrative restoration. This requires filing all overdue confirmation statements and accounts, paying any late filing penalties, and settling applicable fees.

Court Restoration
A court restoration is needed if the company was voluntarily struck off by its directors. This route may be used for:
- Trading Again: All outstanding filings and penalties must be settled to resume trading.
- Releasing an Asset: A company can be restored temporarily to transfer assets still held in its name. No accounts or statements are needed, and penalties do not apply.
- Insurance Claims: Former employees (or their families) may restore a company to bring a claim against insurers for historical work-related illness or injury. There’s no time limit for this type of restoration, but medical evidence and insurer agreement are required.
Additional Information
- Companies registered in Cornwall or Lancashire incur an additional fee of £180.
- If a dissolved company held under £3,000 in a bank account, restoration may not be needed—a discretionary grant from the Treasury Solicitor may apply.
- In some cases, leases can be transferred without restoring the company. Please contact us for guidance.
